Eurotech: Largest Shareholder Emera S.r.l. Commits to Providing Additional Financial Resources.

Amaro (Udine), 23 October 2026 – Eurotech S.p.A. (Euronext STAR Milan: ETH), a multinational company engaged in the development of Edge AI solutions and edge computing systems (“Eurotech” or the “Company”), announces that its largest shareholder, Emera S.r.l. (“Emera”), has undertaken a new commitment to make one or more contributions towards a future share capital increase in favour of Eurotech, up to an aggregate maximum amount of EUR 1 million, by the end of the 2026 financial year, as required by the Company.

This commitment follows a similar undertaking most recently made by Emera and disclosed by Eurotech on 11 September 2025, for a maximum amount of EUR 6.5 million. Following the contributions already made, an outstanding amount of up to EUR 3.5 million remains available to be contributed by Emera towards a future share capital increase, upon Eurotech’s request.

The above-mentioned financial resources are intended to meet the Company’s working capital requirements arising from evolving conditions in the component procurement market and the acquisition of the business unit of VEM Solutions S.p.A., as well as to continue supporting the turnaround and development plan of the Company and the Eurotech Group.

As Emera qualifies as a related party of Eurotech – given that (i) it exercises at least significant influence over Eurotech, being its largest shareholder and the entity responsible for appointing the entire Board of Directors of Eurotech, and (ii) Eurotech directors Aldo Fumagalli and Davide Albino Carando, in turn, exercise significant influence over Emera, being indirect shareholders thereof as well as members of its governing body – the new commitment undertaken by Emera for a maximum amount of EUR 1 million was approved by the Board of Directors, following the favourable opinion of the Related Parties Committee and with directors Fumagalli and Carando abstaining from voting, in accordance with Eurotech’s Procedure for Related Party Transactions. The transaction qualifies as a related party transaction of lesser significance, as it does not exceed the applicable consideration materiality threshold pursuant to the Consob Regulation adopted by Resolution No. 17221/2010, as subsequently amended and supplemented.
